1. Acceptance of Terms
By accessing and using the services provided by VibeX Marketing Solutions, you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
2. Services
VibeX Marketing Solutions provides digital marketing services including but not limited to performance marketing, lead generation, content creation, website development, marketing automation, and consulting services. The specific scope of services will be outlined in individual service agreements or proposals.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Respond to requests for information or feedback in a timely manner
- Ensure you have the rights to any materials provided to us
- Pay all fees according to the agreed payment terms
- Comply with all applicable laws and regulations
4. Payment Terms
Payment terms will be specified in individual service agreements. Unless otherwise stated, invoices are due within 14 days of the invoice date. Late payments may incur interest charges. We reserve the right to suspend services for overdue accounts.
5. Intellectual Property
Upon full payment, clients will own the final deliverables created specifically for them. VibeX Marketing Solutions retains ownership of any pre-existing intellectual property, templates, or tools used in service delivery. We reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This obligation continues after the termination of services.
7. Service Modifications and Cancellations
Either party may terminate services with written notice as specified in the service agreement. Cancellation fees may apply for work already completed or resources committed. We reserve the right to modify or discontinue services with reasonable notice.
8. Warranties and Disclaimers
While we strive to deliver high-quality services, we cannot guarantee specific results from marketing campaigns. Services are provided "as is" without warranties of any kind. We are not responsible for results affected by factors outside our control, including platform algorithm changes, market conditions, or client actions.
9. Limitation of Liability
To the maximum extent permitted by law, VibeX Marketing Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from our services. Our total liability shall not exceed the amount paid by the client for the specific services in question.
10. Third-Party Services
Our services may involve third-party platforms and tools (such as Google Ads, Meta Ads, CRM systems, etc.). We are not responsible for changes to third-party services, their availability, or their terms of service. Clients are responsible for their own accounts and compliance with third-party terms.
11. Indemnification
You agree to indemnify and hold VibeX Marketing Solutions harmless from any claims, damages, or expenses arising from your use of our services, your breach of these terms, or your violation of any rights of another party.
12. Governing Law
These Terms and Conditions are governed by the laws of New Zealand. Any disputes shall be resolved in the courts of New Zealand.
13. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified terms.
